Terms & Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (whether individually or on behalf of an entity, "Client", "User", or "You") and ChatModel.in ("ChatModel", "we", "our", or "us"), governing your access to and use of our SaaS platform, multi-tenant workspace infrastructure, APIs, and conversational software interfaces.

1. Service Description

ChatModel provides enterprise conversational AI software infrastructure, dedicated multi-tenant client workspace provisioning, automated SSL-secured subdomains, conversational telemetry, and webhook orchestration bridges for commercial businesses and agencies.

2. Workspace Accounts & Security

When an administrator provisions a dedicated workspace (e.g., yourbrand.chatmodel.in):

• You are solely responsible for maintaining the confidentiality of your workspace password, access passcodes, and API credentials.
• You are solely responsible for all activities, messages, integrations, and webhook workflows configured under your dedicated subdomain.
• You agree to immediately notify ChatModel of any unauthorized security breach, credential compromise, or unusual account activity.

3. Acceptable Use Policy

You agree not to use ChatModel to:

• Deploy malicious, harmful, abusive, fraudulent, misleading, or deceptive automation workflows.
• Transmit unsolicited commercial messages (spam), unauthorized promotional broadcasts, or violate applicable telecom regulations (e.g., TRAI guidelines, TCPA).
• Attempt to breach, probe, vulnerability-scan, reverse engineer, or compromise multi-tenant database isolation boundaries.
• Infringe upon third-party intellectual property, privacy, confidentiality, or trade secret rights.

4. Subscription Plans, Quotas & Billing

ChatModel offers subscription tiers (Starter, Professional, and Enterprise) billed on a recurring monthly or annual basis. Payments are processed securely via our integrated payment gateway partner (Razorpay).

• Monthly Conversation Quotas: Each subscription tier includes an allocated number of unique monthly conversations. If a workspace reaches its quota threshold, the system gracefully prompts upgrading to maintain uninterrupted uptime.
• Service Control: Administrators can temporarily toggle assistant active states or pause services at any time via the management dashboard.
• Plan Adjustments: Plan upgrades take effect immediately upon payment confirmation.

5. No Refund Policy, No Free Trial & Chargeback Dispute Defense

Due to the immediate provisioning of dedicated multi-tenant cloud infrastructure, custom subdomain allocations, automated SSL security certificates, and real-time AI compute resource commitments:

• Strict No-Refund Policy: All subscription fees, setup fees, recurring renewals, and upgrade payments made to ChatModel.in are final, non-negotiable, and strictly non-refundable under any circumstances.
• No Partial or Prorated Credits: We do not issue partial refunds, pro-rated refunds, or account credits for unused monthly conversation quotas, early contract cancellations, or mid-cycle plan downgrades.
• Cancellation Terms: You may cancel or turn off auto-renewal for your subscription at any time prior to the next billing cycle. Upon cancellation, your workspace remains operational until the conclusion of your current paid billing period.
• No Free Trials: We do not offer free trial periods or demo accounts. Prospective clients are encouraged to explore our live interactive simulator on the homepage and review platform specifications prior to making any financial commitment.
• Chargebacks & Fraudulent Disputes: Initiating an unauthorized chargeback, payment dispute, or reversal request with your bank or credit card provider without first seeking resolution from ChatModel constitutes a material breach of these Terms. In the event of an unjustified chargeback, ChatModel reserves the right to immediately terminate the workspace, blacklist associated domains and contact details, and pursue legal recovery of all disputed funds, bank chargeback penalty fees, and legal expenses incurred.

6. Digital Services Delivery & Instant Fulfillment

ChatModel is a 100% digital cloud-based SaaS platform. No physical products or physical shipping are involved.

• Instant Digital Fulfillment: Dedicated client workspaces, custom subdomains, automated SSL certificates, and management credentials are provisioned digitally and automatically within seconds to 15 minutes of payment confirmation.
• Delivery Channels: Access credentials, webhook configurations, and dashboard links are provided digitally on the client screen and delivered to the customer's registered email address.
• Support & Onboarding Assistance: Our engineering team provides complimentary digital onboarding and webhook configuration assistance within 24 hours of purchase.

7. Webhook Availability & Third-Party Dependencies

ChatModel dispatches visitor messages to external automation webhooks and AI services specified by the client. While ChatModel ensures high-availability server uptime for its core infrastructure, we are not liable for downtime, latency, or response inaccuracies originating from third-party webhook providers, custom client servers, or external LLM APIs (e.g., OpenAI, Anthropic, Meta).

8. Intellectual Property Rights

ChatModel retains all rights, title, and interest in and to the platform, UI design systems, codebase, subdomains, and proprietary infrastructure. Clients retain full ownership and intellectual property of their brand assets, logos, trademarks, custom prompt engineering directives, and proprietary business workflows.

9. AI Output Disclaimer & Non-Liability

Generative AI models and automated assistants can make mistakes, produce inaccurate answers, or hallucinate. ChatModel operates strictly as a software infrastructure and orchestration provider and does not review, control, or endorse individual automated responses generated by underlying AI engines or client webhook endpoints.

Under no circumstances shall ChatModel, its founders, operators, or developers be held liable or responsible for any erroneous statements, inaccurate advice, commitments, pricing quotes, business losses, missed leads, or damages resulting from AI-generated outputs or actions taken by visitors based on assistant interactions. Clients and visitors utilize the AI assistant at their own discretion and risk.

10. Limitation of Liability & Aggregate Monetary Cap

To the maximum extent permitted by applicable law, ChatModel and its affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, revenue, or business interruption arising out of or in connection with the use or inability to use the platform.

Aggregate Monetary Liability Cap: In no event shall ChatModel's total aggregate liability arising out of or related to these Terms, whether in contract, tort (including negligence), warranty, or otherwise, exceed the total amount actually paid by you to ChatModel in the one (1) month immediately preceding the event giving rise to liability, or INR 1,000 (One Thousand Indian Rupees), whichever is less.

Missed Chats During Web Updates & Maintenance: You acknowledge and agree that during live web platform updates, code deployments, server restarts, or scheduled system maintenance, active or transient chat sessions and messages may fail to record or be dropped in transit. Any chat messages or session records lost or missed during web updates cannot be recovered, reconstructed, or claimed from server logs, and ChatModel disclaims all liability for unrecorded conversations or missing logs.

11. Disclaimer of Warranties ("AS IS" & "AS AVAILABLE")

12. Customer Indemnification & Hold Harmless

You agree to defend, indemnify, and hold harmless ChatModel, its founders, owners, developers, affiliates, contractors, and agents from and against any and all claims, liabilities, damages, losses, judgments, fines, penalties, and expenses (including reasonable attorney fees and legal costs) arising out of or related to:

• Your access to, use of, or configuration of the ChatModel platform or automated assistants;
• Any content, messages, prompt directives, or automated outputs transmitted through your workspace or WhatsApp messaging integrations;
• Your breach of these Terms, violation of third-party intellectual property, privacy, or publicity rights, or non-compliance with applicable laws (including anti-spam regulations, TRAI rules, or Meta / WhatsApp Business policies);
• Any claims or disputes between you and your end clients, website visitors, or third-party service providers.

13. Modifications to Terms

We reserve the right to revise these Terms periodically to reflect technological improvements or regulatory requirements. Continued access to or use of the platform after updates constitutes acceptance of the modified Terms.

14. Governing Law, Dispute Resolution & Exclusive Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or in connection with these Terms shall first be attempted to be resolved amicably within 30 days of written notice. If unresolved, all disputes shall be submitted to the exclusive jurisdiction of the competent courts located in New Delhi / Delhi NCR, India.
